Terms & Conditions

Welcome to Loop, a product of Connected Circle, Inc. ("we," "our," "us"). By downloading, installing, or using Loop, you agree to these Terms & Conditions ("Terms"). Please read them carefully. If you do not agree, do not use the app.

1. Eligibility

• You must be at least 13 years old (or the minimum legal age in your country) to use Loop
• If you are under 18, you must have your parent or guardian's consent
• By using Loop, you confirm that you meet these requirements and have the authority to enter into these Terms

2. Your Account

• You are responsible for maintaining the confidentiality of your account credentials and phone number
• You are responsible for all activity that occurs under your account
• You must provide accurate and up-to-date information when creating your account
• You agree to notify us immediately of any unauthorized use of your account
• One person may not maintain more than one account

3. Your Content

• You retain ownership of your content. Photos, videos, voice notes, text, and other materials you upload remain yours
• By sharing content in a Loop, you grant Connected Circle, Inc. a limited, non-exclusive, worldwide, royalty-free license to host, store, display, and transmit your content solely for operating and improving Loop
• This license ends when you delete your content or account, except for content that has been shared with others (which may remain in their Loops)
• You are responsible for the content you share and must have all necessary rights to upload it
• You represent and warrant that your content does not violate these Terms or any applicable laws

4. Content Standards & Prohibited Content

You agree not to upload, share, or transmit content that:

• Is unlawful, harmful, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Infringes on intellectual property rights of others
• Contains viruses, malware, or other harmful code
• Violates the privacy or publicity rights of others
• Is spam, commercial solicitation, or mass messaging
• Depicts or promotes violence, self-harm, or illegal activities
• Contains nudity or sexually explicit material
• Targets minors inappropriately

5. Privacy & Data Protection

Your use of Loop is governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using Loop, you consent to the collection and use of information in accordance with our Privacy Policy.

6. Prohibited Uses & User Conduct

You agree not to:

• Use Loop for any unlawful purpose or in violation of these Terms
• Harass, threaten, intimidate, or abuse other users
• Impersonate any person or entity or misrepresent your identity
• Attempt to gain unauthorized access to Loop, other users' accounts, or our systems
• Interfere with or disrupt Loop's functionality or servers
• Use automated tools (bots, scrapers) to access Loop
• Circumvent any security or authentication measures
• Reverse engineer, decompile, or attempt to extract source code from Loop
• Use Loop to distribute spam or commercial content without consent

7. Third-Party Services & Integrations

Loop may integrate with or use third-party services including:

• Firebase (Google) for push notifications and analytics
• Twilio for SMS authentication
• Cloud storage providers for data hosting

Your use of these third-party services is subject to their own terms and privacy policies. We are not responsible or liable for third-party services, their availability, or their practices.

8. Subscriptions, Payments & App Store Terms

Pricing & Billing

• Some Loop features require payment (premium subscriptions, Loop Communities)
• Prices are displayed in the app and may change with notice
• All purchases are processed through the Apple App Store or Google Play Store
• Subscriptions automatically renew unless canceled before the renewal date

App Store Compliance

• Apple App Store: Purchases are subject to Apple's Terms of Service. To cancel subscriptions, use your Apple ID account settings
• Google Play: Purchases are subject to Google Play's Terms of Service. Manage subscriptions through Google Play
• We do not have access to your App Store payment information

Refunds

• Refund requests must be made through the App Store where you purchased
• We cannot process direct refunds for App Store purchases
• Refunds are subject to Apple's or Google's respective refund policies

9. Account Termination

Your Right to Terminate

• You may delete your account at any time through the app settings
• Account deletion is permanent and cannot be undone
• Your content will be removed from our active systems within 30 days

Our Right to Terminate

• We may suspend or terminate your account immediately if you:
  • Violate these Terms or our Community Guidelines
  • Engage in harmful, illegal, or abusive behavior
  • Attempt to compromise Loop's security or functionality
• We will provide notice when possible, except in cases involving legal requirements or security threats
• Upon termination, your access to Loop and your content may be immediately revoked

10. Intellectual Property Rights

Our Rights

• Loop, including its software, design, trademarks, and proprietary features, is owned by Connected Circle, Inc.
• Loop is protected by copyright, trademark, and other intellectual property laws
• You receive a limited, non-exclusive, non-transferable license to use Loop according to these Terms

Your Restrictions

• You may not copy, modify, distribute, sell, or lease any part of Loop
• You may not reverse engineer or attempt to extract source code
• You may not use our trademarks or branding without written permission

11. Digital Millennium Copyright Act (DMCA)

We respect intellectual property rights. To report copyright infringement:

12. Disclaimers & Warranty

Loop is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Guarantees of uninterrupted, timely, secure, or error-free service
• Accuracy or reliability of any information obtained through Loop

We do not warrant that:

• Loop will meet your specific requirements
• Loop will be available at all times or free from bugs
• Any errors will be corrected
• Loop is free from viruses or harmful components

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Connected Circle, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• This includes damages for loss of profits, data, use, goodwill, or other intangible losses
• Our total liability for any claim shall not exceed the greater of (a) $100 or (b) the amount you paid for Loop in the 12 months preceding the claim
• These limitations apply even if we have been advised of the possibility of such damages
• Some jurisdictions do not allow these limitations, so they may not apply to you

14. Indemnification

You agree to defend, indemnify, and hold harmless Connected Circle, Inc., its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney fees) resulting from:

• Your use of Loop or violation of these Terms
• Your content or any content submitted through your account
• Your violation of any rights of another person or entity
• Your violation of any applicable laws or regulations

15. Dispute Resolution & Governing Law

Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict-of-law principles.

Dispute Resolution

For disputes under $10,000: You and Connected Circle, Inc. agree to resolve disputes through binding individual arbitration rather than in court, except you may assert claims in small claims court.

Arbitration Rules:

• Conducted under the American Arbitration Association (AAA) Consumer Arbitration Rules
• Arbitration will be conducted in Boston, Massachusetts, or another location we mutually agree to
• You and Connected Circle, Inc. waive any right to a jury trial or class action

Exceptions: Either party may seek injunctive relief in court for intellectual property infringement or misuse of confidential information.

16. General Provisions

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Connected Circle, Inc.

Assignment

You may not assign your rights under these Terms. We may assign our rights to any affiliate or in connection with a merger or sale of assets.

Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

Force Majeure

We are not liable for any failure or delay due to circumstances beyond our reasonable control.

17. Updates to Terms

We may update these Terms periodically to reflect:

• Changes in our services or business practices
• Legal or regulatory requirements
• Enhanced user protections

Notice of Changes:

• Significant changes will be communicated via in-app notification and SMS
• Continued use of Loop after changes constitutes acceptance
• If you disagree with changes, you may delete your account
